The Defi Sites includes general news and information, commentary, interactive tools, quotes, research reports and data concerning the financial markets, securities and other subjects. Some of this content is supplied by companies that are not affiliated with any Defi Network entity ("Third Party Content"). Some Third Party Content may be provided by mutual fund companies whose shares are available for purchase by Defi Network customers. On the Defi Network sites, the source of all Third Party Content is clearly and prominently identified. Third Party Content providers include, but are not limited to, CNBC, Bloomberg, CNN Money, Dow Jones and MarketWatch. Third Party Content is available through framed areas, through hyperlinks to Third Party web sites, or is simply published on the site. The Third Party Content is protected by copyright pursuant to United States laws and international treaties and is owned or licensed by the Third Party Content provider(s) credited.
The Defi Network has not been involved in the preparation, adoption or editing of Third Party Content and does not explicitly or implicitly endorse or approve such content. The Third Party Content providers does not implicitly or explicitly endorse or approve the Third Party Content, nor do they give investment advice, or advocate the purchase or sale of any security or investment.
While Defi Network makes every attempt to provide accurate and timely information to serve the needs of users, neither Defi nor the Third Party Content providers guarantee its accuracy, timeliness, completeness or usefulness, and are not responsible or liable for any such content, including any advertising, products, or other materials on or available from Third Party sites. Third Party Content is provided for informational purposes only and Defi Network and the Third Party Content providers specifically disclaim any responsibility for Third Party Content available on the site. You will use Third Party Content only at your own risk. The Third Party content is provided on an "as-is" basis. The Third Party Content providers expressly disclaim all warranties of any kind, express or implied, including without limitation any warranty of merchantability, fitness for a particular purpose or non-infringement.
The Third Party Content providers and their parents, subsidiaries, affiliates, service providers, licensors, officers, directors or employees shall not be liable for any direct, indirect, incidental, special or consequential damages arising out of or relating to the use or the inability to use the Third Party content, including but not limited to damages for loss of profits, use, data or other intangible damages, even if such party has been advised of the possibility of such damages.
In order to comply with applicable laws and regulations, Defi Network may at times exclude content with respect to securities of issuers which are the subject of public offerings made available to Defi's brokerage customers, or otherwise. Certain other content filtering may take place from time to time based on objective criteria.
All content on the Defi Network sites is presented only as of the date published or indicated, may be superseded by subsequent market events or for other reasons. In addition, you are responsible for setting the cache settings on your browser to ensure you are receiving the most recent data.
Prohibited Uses
Because all servers have limited capacity and are used by many people, do not use Defi Network sites in any manner that could damage or overburden any Defi Network server, or any network connected to any Defi Network server such as using the same IP while using Defi for different members, fraud, illegal arbitrage and etc. Do not use Defi Network sites in any manner that would interfere with any other party's use.
*You authorize us to make enquiries, whether directly or through third parties; that we consider necessary to verify your identity or protect you and/or us against fraud or other financial crime, and to take action we reasonably deem necessary based on the results of such inquiries. When we carry out these enquiries, you acknowledge and agree that your personal information may be disclosed to credit reference and fraud prevention or financial crime agencies and that these agencies may respond to our enquiries in full. This is an identity check only and should have no adverse effect on your credit rating. Additionally, we may require you to wait some amount of time after completion of a transaction before permitting you to use further Defi Network Inc. services and/or before permitting you to engage in transactions beyond certain volume limits.*
1. PAYMENT SERVICES
1.1 Loading. You can load funds into your Wallet using one of the payment methods available on the Site, such as crypto or tokens listed on deposit option (your Wallets will show loaded funds once we have received them). Loading of funds may be done automatically, or as part of a recurring transaction. When funds are loaded into the Wallet you will be issued with Credited note by Defi Network Portal that represents the funds you have loaded. If you do not purchase any package, then the Wallet is not considered as participation account which means your asset will not be followed by the rebate scheme. Defi Network Platform will only hold funds received from users in a designated safekeeping dashboard with a regulated financial institution. Wallet held in an asset will not earn any rebate neither profit. Your Wallet may hold digital assets denominated in different cryptocurrencies or token and we will show the Wallet balance for each cryptocurrency or token that you hold.
1.2 Purchase or Sale of Digital Currency. You may purchase supported Digital Currency by using Wallet deposit option to your account Wallets. To carry out a Digital Currency Transaction using Wallets, you must follow the relevant instructions on the Site specially the AML and KYC procedure. A Digital Currency Transaction using Wallet should normally be settled no later than one business day after we receive your instructions. You may authorize us to debit Wallet from your account for cash withdrawal. Although we will attempt to deliver Digital Currency to you as promptly as possible, digital asset may be debited from your Wallet before Digital Currency is delivered to your external Wallet.
You may sell Digital Currency in exchange for FIAT but we only guaranty that you change your withdrawal asset with minimum of BTC and ETH. You may authorize us to debit your Digital Currency Wallet and credit your external Wallet with the relevant amount of your Transaction Wallet. User will be 100% responsible to provide a correct external wallet address and Defi Network will not have any responsibilities for incorrect input provided by users.
1.3 Receipt of Instructions. If we receive instructions from you to purchase Digital Currency using Transaction Wallet on a non-business day or after 11:30 pm (EST time) on a business day, we may treat those instructions as if they were received by us on the following business day.
1.4 Revocation. When you give us instructions to carry out a Digital Currency Transaction using your Transaction Wallet, you cannot withdraw your consent to that Digital Currency Transaction more than total of 5 times per month. In the case of a Future Transaction, you may withdraw your consent up until the end of the business day before the date that the Future Transaction is due to take place. To withdraw your consent from Wallet Transaction, follow the instructions on the user Platform.
1.5 Unsuccessful Payments. If a payment to load funds into your Wallet is not successful, you may authorize Defi Network, in its sole discretion, either to cancel any related Digital Currency Transactions or to debit your other payment methods, including Transaction Wallet balances or other linked accounts, in any amount necessary to complete the Digital Currency Transactions in question. You are responsible for maintaining an adequate balance and/or sufficient credit limits in order to avoid overdraft, or similar fees charged by your payment provider.
1.6 Account Information. You will be able to see your Wallet balance and your Transaction History using the Site, including (i) the amount (and currency) of each Digital Currency deposit or converted, (ii) a reference to identify the payer and / or payee (as appropriate), (iii) any fees charged (including a breakdown of the fees), (iv) where there has been a cryptocurrency/token exchange, the rate of exchange, and the amount (in the new currency) after exchange (where you are the payer) or the amount (in the original currency) before the exchange (where you are the payee), and (v) the debit or credit date of each Digital Currency Purchase (as appropriate).
1.7 Redeeming Transaction Wallets. You may redeem all or part of any Crypto or Token Wallets held into your Transaction Wallet at any time by selecting the relevant option in the Portal and following the instructions with no extra fee. Unless requested otherwise, funds will be transferred to other users account who have been registered with us (fees included). This is not including Cryptocurrency or Token Wallets transactions.
1.8 Cancelation Request. If any of the Participation Packages canceled by user, we will redeem any remaining value of the related package after deduction of paid monthly rebates in your Transaction Wallet which can get transferred to your external Wallet through the same withdrawal system. Prior to redeeming canceled package’s asset from your Transaction Wallet, we may conduct checks for the purposes of preventing fraud, money laundering, terrorist financing and other financial crimes. (This May Take Up to One Month) This may mean you are prevented or delayed from withdrawing Wallet until those checks are completed to our reasonable satisfaction in order to comply with our regulatory requirements.
1.9 Unauthorized and Incorrect Transactions. Where a convert of a Digital Currency and / or redemption of Wallet is initiated from your Transaction Wallet using your credentials, we will assume that you authorized such transaction, unless you notify us otherwise.
If you believe that a transaction using any of your Wallet has been carried out that you did not authorize (an "Unauthorized Transaction"), or if you have reason to believe that a transaction using your Wallet has been incorrectly carried out or is not complete (an "Incorrect Transaction"), you must contact us as soon as possible.
It is important that you regularly check your Wallet balance and your transaction history to ensure any Unauthorized Transactions or Incorrect Transactions are identified and notified to us at the earliest possible opportunity.
We are not responsible for any claim for Unauthorized Transactions or Incorrect Transactions unless you have notified us in accordance with this Section 1.9, in which case below sets out our respective responsibilities. As further described in below, we are not responsible for any claim for Unauthorized Transactions or Incorrect Transactions if you have acted fraudulently, intentionally or with gross negligence and this has resulted in the Unauthorized Transactions or Incorrect Transactions.
During any investigation of any actual or potential Unauthorized Transactions or Incorrect Transactions, we reserve the right to suspend your Defi Network Account to avoid further losses.
1.9.1 Incorrect Transactions.
Where an Incorrect Transaction is made as a result of you action we cannot refund the amount of that transaction as all the crypto and token transaction are happening through a blockchain system; therefore, restore your Wallet to the state in which it would have been had the Incorrect Transaction not taken place. We will also endeavor to provide you with reasonable alert where possible.
1.10 Appointment of Regulated Third Parties. You may, appoint appropriately regulated third parties to access your Wallet ("Regulated Third Parties"). If you do, you should be aware that by virtue of such access, that Regulated Third Party such as trading platforms or etc. may access your transactional and other data, and / or may initiate transfers from your Wallet. You will be liable for any actions that any Regulated Third Parties take on your Defi Account, as further set out in section above. We reserve the right to refuse access to any Regulated Third Parties, as set out below.
1.11 Refusing to deal with Regulated Third Parties. We may refuse access to Regulated Third Party for objectively justified and duly evidenced reasons relating to unauthorized or fraudulent access to your Wallet. In such cases, unless we are prohibited by applicable law, we will inform you that that Regulated Third Party's access has been denied and the reasons why. We will permit access again once we are satisfied that the reasons for refusing access no longer exist.
1.12 Consent. By opening an Defi Network account with us, you provide your explicit consent to us providing payment services (i.e. the Wallets) to you.
For the avoidance of doubt, this consent does not relate to our processing of your personal information or your rights under and in accordance with data protection law and regulations. Please see (Data Protection) below and our Privacy Policy for information about how we process your personal data, and the rights you have in respect of this.
1.13 Financial Ombudsman Service. If you have a complaint relating to the Wallets provided to you by Defi Network platforms, and that complaint cannot be resolved through the dispute process, you may then be able to take unresolved complaints to the International Financial Ombudsman Service ("FOS"). You agree that you will not raise a complaint with the FOS until the dispute process has been completed.
We refer to the Wallet services, Digital Currency services and additional services (all defined below) collectively as Defi Network Platforms.
Note: The risk of loss in trading, converting or holding Digital Currencies (Cryptocurrencies or Tokens) can be substantial. As with any asset, the value of Digital Currencies can go up or down and there can be a substantial risk that you lose money buying, selling, holding, or investing in digital currencies. Digital currency services are not currently regulated by the Financial Conduct Authorities or any other regulator in many countries. You should carefully consider whether trading or holding Digital Currencies is suitable for you in light of your financial condition*.
1. ELIGIBILITY.
To be eligible to use any of the Defi Network Services, you must be at least 18 years old and reside in a country in which the relevant services IPs are accessible. Please note that not all Defi Network Services are available in every country.
2. WALLET SERVICES.
2.1 Wallet Services.
The following services (the "WALLET Services") may be provided to you by Defi Network Portal payments gateways:
1. A hosted digital wallet enabling you to store digital assets issued by Defi Network Portal (the "Crypto/Token Wallet" and "Transaction Wallet" respectively); and
2. Certain payment services enabling you to send and receive digital asset.
The Wallet Services are regulated by the Financial Conduct Authority ("FCA"). Defi Network Portal is an authorized electronic blockchain institution following the major Anti Money Laundry and KYC regulations.
2.2 Digital Currency Services.
The following services (the "Digital Currency Services") may be provided to you by Defi Network:
1. One or more hosted digital currency wallets enabling you to store, track, transfer, and manage your balances of certain supported digital currencies like Bitcoin or Ethereum (the "Digital Currency Wallet" and "Digital Currency" respectively); and
2. A Digital Currency conversion service enabling you to obtain prices for your purchases and sales of Digital Currencies, and (subject to certain restrictions) carry out any such purchases or sales on the Site.
Unlike centralised Wallet services, Digital Currency Services are not regulated by the FCA. Defi Network Inc. is not a regulated financial services or advisory provider. Defi is based in, and provides its services from the US.
2.3 Additional Defi Services.
In addition to the core services, the following services ("Additional Services") may be made available by Defi Network Global Platform to users that fulfil certain eligibility criteria:
1. An order book platform for Digital Currencies (as further described in Appendix ) ("Defi Pro"); and
2. Development applications provided by Defi Network Inc. (as further described in) ("Developer’s Tools").
2.4. Fees. A full list of fees for Defi Network Inc. services can be found on the User Panel
2.5 Defi Group of Companies. Defi Network INC. in US and Defi Network Limited and Blockchain Development INC. Limited in UK and all affiliated and other group companies of those companies, shall together in this Agreement be termed the "Defi Group of Companies".
3. ACCOUNT SETUP.
3.1. Registration of Defi Network Account. To use the Defi Network services, you will need to register for an Defi Network account by providing your name, email address and a password and accepting the 3 different terms of this Agreement. By using an Defi Network account, you agree and represent that you will use the Defi Services only for yourself, and not on behalf of any Third Party, unless you have obtained prior approval from Defi Network in accordance with this Agreement as each individual is allowed to hold only 1 account. You are fully responsible for all activity that occurs under your Defi Network account. We may, in our sole discretion, refuse to open an Defi Network account for you, or suspend or terminate any Defi Network account or the trading of specific Digital Currency in your account.
3.2 Third Party Access. If, to the extent permitted, or as otherwise permitted by Defi Network from time to time, you grant express permission to a Third Party to access or connect to your Defi Network account(s), either through the Third Party's product or service or through the main website, you acknowledge that granting permission to a Third Party to take specific actions on your behalf does not relieve you of any of your responsibilities under this Agreement. You are fully responsible for all acts or omissions of any Third Party with access to your Defi Network account(s) and any action of such Third Party shall be considered to be an action authorized by you. Further, you acknowledge and agree that you will not hold Defi Network responsible for, and will indemnify Defi from, any liability arising out of or related to any act or omission of any Third Party with access to your Defi Account(s).
You may change or remove permissions granted by you to third parties with respect to your Defi Network account(s) at any time through the tabs on the ‘Settings’ page on the Site.
3.3 Identity Verification. You agree to provide us with the information we request for the purposes of identity verification, KYC and the detection of money laundering, terrorist financing, fraud, or any other financial crime, including as set out in Appendix 2 (Verification Procedures and Limits) and permit us to keep a record of such information. You will need to complete certain verification procedures before you are permitted to start using the Defi Network services and to access specific services, including certain transfers of asset and Digital Currency withdrawal, and the limits that apply to your use of the Defi Network services may be altered as a result of information collected on an ongoing basis.
The information we request may include certain personal information including, but not limited to, your name, address, telephone number, email address, date of birth, government identification number, customer type, customer role, billing type, mobile device identifiers (IMSI and IMEI) and other subscriber status details. In providing us with this or any other information that may be required, you confirm that the information is accurate, correct and you agree to keep us updated if any of the information you provide changes. We will treat this information in accordance with (Data Protection).
